These Terms & Conditions apply to services purchased from Louisa Herridge Ltd, Trading as Louisa Herridge Publishing (“Louisa Herridge Publishing ”, “we”, “us” or “our”).

By purchasing or booking a service, programme, event or retreat with Louisa Herridge Publishing, you agree to these Terms & Conditions together with any individual Client Agreement, Author Agreement or booking terms provided in connection with your purchase.

1. Our Agreement With You

The specific service you purchase from Louisa Herridge Publishing will be set out within the relevant proposal, sales or booking information and, where applicable, your individual Client or Author Agreement.

Individual services and programmes may have different inclusions, timescales, payment arrangements, cancellation provisions and responsibilities.

Where an individual agreement has been entered into, its terms form part of the agreement between you and Louisa Herridge Ltd.

If there is any conflict between these general Terms & Conditions and an individual agreement, the terms of the individual agreement will take precedence in relation to that service.

2. Fees and Payment

The price of your chosen service will be confirmed before purchase or set out within your individual agreement.

Payment may be made in full or, where offered, through an agreed payment plan.

A payment plan is a method of paying the total agreed fee by instalments and is not a subscription.

By entering into a payment plan, you are committing to payment of the full agreed fee regardless of your level of participation or whether you choose to end your participation early, subject to any rights you may have under applicable law.

Payment plans cannot be cancelled simply because you no longer wish to participate in or continue with the service.

If a payment is missed, Louisa Herridge Publishing  reserves the right to require the remaining outstanding balance to be paid immediately.

All payments are non-refundable except where otherwise expressly agreed in writing or required by law.

Where applicable, overdue payments may accrue interest at the rate stated within your individual agreement.

3. Cancellation

Cancellation terms applicable to your particular programme, service, event or retreat will be set out within your individual agreement or booking terms.

Where the agreement is entered into on a business-to-business basis, the cancellation provisions contained within the relevant individual agreement will apply.

Nothing within these Terms & Conditions is intended to remove or restrict any statutory rights which cannot legally be excluded.

4. Client Responsibilities

You are responsible for providing Louisa Herridge Publishing with the information, materials, content, feedback and approvals reasonably required to deliver your service.

Where your service relates to the creation or publication of a book, you are responsible for ensuring that:

Content provided to Louisa Herridge Publishing is original or you have the appropriate rights and permissions to use it.

Information contained within your work is accurate, lawful and appropriate.

Requested materials are supplied within agreed timescales.

Edits, designs, proofs and other materials requiring your approval are reviewed promptly.

You provide final approval before publication.

You remain responsible for the final content of your published work.

Where your participation, materials, feedback or approvals are delayed, the delivery or publication timetable may also be affected.

Louisa Herridge Publishing will not be responsible for delays caused by late submissions, missed appointments, delayed approvals or other circumstances attribulable to you.

5. Copyright and Intellectual Property

You retain full copyright ownership of your original book and manuscript in all formats.

Nothing within your engagement with Louisa Herridge Publishing transfers ownership of your book copyright to Louisa Herridge Ltd unless expressly agreed otherwise in writing.

All Louisa Herridge Publishing programme materials, templates, workbooks, frameworks, training, content and recordings remain the intellectual property of Louisa Herridge Ltd.

These materials are provided for your own use and may not be reproduced, shared, distributed, resold or otherwise commercially exploited without prior written permission from Louisa Herridge Ltd.

6. Royalties

Unless expressly agreed otherwise in writing, all royalties generated from the sale of your book belong solely to you.

Louisa Herridge Ltd does not receive royalties from your book sales.

7. Confidentiality

Both you and Louisa Herridge Publishing agree to respect confidential and proprietary information shared during the course of your engagement.

You agree not to disclose, distribute or use confidential information, programme materials, business practices, concepts, plans or proprietary information belonging to Louisa Herridge Ltd except for the purposes for which they were provided.

Louisa Herridge Publishing will similarly respect confidential and proprietary information provided by you.

Where you participate in a group programme, event or retreat, you are also expected to respect the privacy and confidentiality of other participants.

8. Third-Party Services and Platforms

Louisa Herridge Publishing may use or work with third-party platforms and service providers as part of delivering its services, including publishing platforms such as Amazon KDP.

Louisa Herridge Publishing is not responsible for changes, restrictions, delays, technical issues or other circumstances arising from third-party platforms or providers which are outside our reasonable control.

9. Results and Publishing Outcomes

Louisa Herridge Publishing does not guarantee any particular publishing, commercial or marketing outcome.

This includes, but is not limited to:

- Bestseller status

- Book sales

- Sales rankings

- Revenue

- Marketing performance

- Publicity or PR outcomes

- Publishing success can be affected by factors outside Louisa Herridge Publishing 's control, including market conditions, reader behaviour and third-party platforms.

10. Limitation of Liability

To the extent permitted by law, Louisa Herridge Ltd will not be liable for indirect, incidental, special or consequential loss or damage arising

from your participation in or purchase of an Louisa Herridge Publishing service.

This includes loss or damage arising from:

- Changes to third-party publishing platforms

- Reactions to content contained within your book

- Incorrect, unverified, unlawful or sensitive content provided or approved by you

- Sales rankings or sales performance

- Marketing or promotional outcomes

- Delays caused by your failure to provide required materials, feedback or approvals

- Circumstances outside Louisa Herridge Publishing 's reasonable control

Nothing within these Terms & Conditions excludes or limits liability where it would be unlawful to do so.

11. Conduct

Clients and participants are expected to communicate respectfully and professionally with Louisa Herridge Ltd, its representatives and, where applicable, other programme, event or retreat participants.

Louisa Herridge Publishing reserves the right to terminate participation where behaviour is disruptive, inappropriate or harmful to others.

Any financial consequences of termination will be dealt with in accordance with the applicable individual agreement and applicable law.

12. Data Protection

Personal information will be processed in accordance with applicable UK data protection legislation and the Louisa Herridge Ltd Privacy Policy.

13. Circumstances Outside Our Control

Louisa Herridge Publishing will not be responsible for delays or failure to provide a service where this results from circumstances outside our reasonable control, including changes to third-party platforms or services.

Where circumstances outside our control materially affect delivery of a service, we will take reasonable steps to communicate with affected clients and determine appropriate next steps.

14. Changes to Services

Louisa Herridge Publishing may make reasonable changes to the delivery of a service where circumstances require it, provided that those changes do not materially reduce the overall service purchased.

Where a material change is necessary, affected clients will be informed as soon as reasonably practicable.

15. Governing Law and Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

The parties agree that the courts of England and Wales shall have jurisdiction to settle any dispute or claim arising from these Terms & Conditions, subject to any rights which cannot legally be excluded.
